Vendict Platform’s Engagement Competition
‍Terms and Conditions

Introduction

The following Terms and Conditions (the “Terms”) outline the rules and guidelines for participating in Vendict Ltd. (“Vendict”) platform’s engagement competition (the “Competition”). Please read these Terms carefully. Your participation in the Competition indicates your agreement to the Competition terms and releases Vendict and/or its representatives from any claim and/or demand and/or lawsuit related, directly or indirectly, to the Competition.

Eligibility

• The Competition is open to all users of Vendict’s platform (the “Participants” or the “Platform”,respectively) who sign up to the Competition in the booth of Vendict during the RSA conference. TheCompetition period shall be between May 1st 2024 - May 31st 2024 (the “Competition Period”).
• Participants must sign the licenase agreement for the use of the Platform and create an account on thePlatform during the Competition Period.
• Participants must sign up their team to use the Platform during the Competition Period.
• Participants must upload relevant documents and reports to the Platform during the Competition Period.
• Participants must actively engage by answering questionnaires during the Competition Period.

Scoring Metrics

The activity of each new account will be scored based on the following metrics:

1. Number of Completed Questionnaires: The total count of successfully completed questionnaires 
2. Number of Active Users: The number of team members actively using the platform.
3. Number of Documents in the Library: The quantity of documents that contribute to the platform’s knowledge base.

Winner Selection

• At the end of the Competition Period, an overall winner with the highest cumulative score across all metrics will be declared the winner by Vendict.
• In the event of a tie, additional criteria (such as quality of contributions) may be considered.

Prize

• The winner and its team (maximum team size of 6 individuals) will receive a spa day at Halehouse Spa or equivalent location based on winners’ own location. The location of the spa day will be chosen by the winner.
• If the spa day is not relevant or feasible for the winner, alternative prizes can be discussed, provided they do not surpass the total cost that Vendict would incur for the spa day at Halehouse Spa.
• Vendict is entitled not to deliver the prize to anyone it deems has obtained their win through fraud or by any other act that is not lawful, including a violation of any of the provisions of the Competition terms or applicable law.

Privacy

• Vendict respects your privacy. 
• By participating in the Competition, you consent to the collection, use, and disclosure of your personal information (name, email address, company name) for the purposes of administering the Competition and awarding the prize. In addition, Vendict may send you some marketing material following this Competition.
• Vendict shall be entitled to use any information related to a participant and/or to the Competition for the purpose of supervision and/or control and/or development and/or for other needs of Vendict and/or for the purpose of complying with the provisions of any applicable law.

General Terms

• Vendict reserves the right to modify or cancel the Competition at any time.
• Vendict and any of its subsidiaries, their successors, representatives, advertising and sales promotion agencies, employees, agents, and contractors, as applicable, shall not bear any liability or responsibility towards any participant or any third party, arising from participation and/or an attempt to participate in theCompetition and/or the ability or inability to upload any information and/or document in connection with participation in the Competition.
• Participants must comply with all applicable laws and regulations.
• Vendict’s decisions regarding the Competition are final and binding.
• In any case of contradiction and/or any discrepancy between the provisions of these Terms and any other publications regarding the Competition, the provisions of these Terms shall prevail in all respects. Every participant, by its participation in the Competition, declares and confirms that it has read these Terms, that it agrees and confirms the contents herein, and that it complies and will continue to comply with all the conditions detailed in these Terms throughout the Competition Period.
• All disputes arising out of these Terms will be subject to the governing law of the state of Israel and the exclusive jurisdiction of the competent courts located in the city of Tel Aviv - Jaffa.
